Finance History | 11 Wall Street — IR Stopped and a Climate Book Opened Called TT
kevin
People treat Trane Technologies as a Swords climate house that always printed TT after a finished New York book.
The letters arrived as a reverse Morris Trust.
A company release dated 2 March 2020 records that Ingersoll-Rand plc completed its reverse Morris Trust with Gardner Denver Holdings, separated the Industrial segment, and that the remaining Climate segment began trading that day on the New York Stock Exchange as Trane Technologies under TT.
The same release records that on 29 February 2020 the company distributed all 239 million shares of Ingersoll-Rand U.S. HoldCo to holders of record as of 24 February 2020, and that HoldCo then merged into a Gardner Denver subsidiary.
Existing Ingersoll-Rand shareholders received 50.1 percent of Gardner Denver on a fully diluted basis. Gardner Denver holders retained 49.9 percent.
The surviving industrial combination took the Ingersoll Rand name.
A company 8-K exhibit dated 14 February 2020 had already told holders that Ingersoll-Rand plc would change its name to Trane Technologies plc and its ticker to TT after the merger, and that the distribution would not change the number of Ingersoll-Rand shares they already held.
The mechanism of 2 March 2020 is a tax-free split that retired one New York symbol on the climate parent and opened another, while a second listed book absorbed the spun industrial assets. It was not a cash IPO of new Trane shares that morning.
The pin is the Broad Street facade of the Exchange, where TT first printed. Interior trading is not visitable from the sidewalk.
