People treat FactSet as a Norwalk data vendor that always printed FDS after a finished workstation book.
The June 1996 issuer was FactSet Research Systems Inc., a Delaware company founded in 1978 and then housed at One Greenwich Plaza.
The amended S-1 dated 26 June 1996 offered 3,125,000 common shares. Every share was sold by existing holders. The company received none of the proceeds.
FactSet began trading on the New York Stock Exchange on 28 June 1996 under the letters FDS. Underwriters Donaldson, Lufkin and Jenrette and Alex. Brown opened the book at 16.00 dollars a share, inside the 15 to 17 dollar range printed in the prospectus.
A four-for-one split had already been effected on 4 June 1996. About 9.5 million other shares remained outstanding beside the float.
The mechanism is a secondary listing. Public paper was created so private holders could sell. The operating company did not raise working capital on that tape.
The pin is the Broad Street facade of the Exchange on the morning the New York tape opened. Interior trading is not visitable from the sidewalk.
