People treat DTE Energy as a Detroit utility that always printed DTE as a holding-company ticker.
The 1996 issuer was still The Detroit Edison Company, a Michigan electric utility whose common stock already traded under DTE.
A 1996 Form 10-K says that on 1 January 1996 holders of Detroit Edison common exchanged those shares, one for one, for common stock of DTE Energy Company. The same filing says Detroit Edison then paid a dividend to the new parent in the stock of five subsidiaries.
DTE Energy had been incorporated in Michigan in 1995 as an exempt holding company under the Public Utility Holding Company Act. The company kept the old ticker because DTE was already the Detroit Edison symbol.
The mechanism is a share-for-share wrap. Holders did not buy a new issue. They swapped a regulated operating company for a parent that could own both the utility and unregulated energy businesses without mixing the two balance sheets.
The 10-K framed the structure as a way to isolate the regulated book from the risks of non-utility operations. Michigan Consolidated Gas later entered the group through the 2001 merger with MCN Energy.
The pin is the Broad Street facade of the Exchange, where DTE still prints. Interior trading is not visitable from the sidewalk.
