Welcome to Metablox.co (“Metablox,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our website, apps, products, smart contracts, and any related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

1) Acceptance of Terms

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2) Eligibility

You must be at least the age of majority in your jurisdiction (or have verifiable parental consent where permitted) to use the Services. You represent that you have the authority to agree to these Terms.

3) Accounts & Security

• You are responsible for your account credentials and for all activity under your account.
• Promptly notify us of any unauthorized use or security incident.
• We may require verification steps (e.g., email, 2FA) and may suspend accounts for suspected abuse.

4) Acceptable Use

You agree not to, and not to attempt to:

• Use the Services for unlawful, harmful, fraudulent, misleading, or infringing purposes.
• Interfere with, disrupt, or bypass any security or access controls.
• Scrape, harvest, or collect user data except as permitted by law and our policies.
• Upload content that is illegal, harassing, defamatory, hateful, pornographic, or that violates others’ rights (including privacy and IP).

5) User Content & License

“User Content” includes memories, photos, text, and other material you submit.

• Ownership: You retain ownership of your User Content.
• License to Us: You grant Metablox a worldwide, non‑exclusive, royalty‑free license to host, store, reproduce, modify (for technical purposes like resizing/format conversion), display, and distribute your User Content for operating, improving, and promoting the Services. This license ends when you remove your content from the Services, except to the extent copies are retained for backup, archival, legal, or blockchain immutability reasons.
• Rights & Permissions: You represent that you have all rights necessary to grant the above license and that your User Content does not violate any law or third‑party rights.

6) Intellectual Property

The Services (including software, design, text, graphics, logos, and trademarks) are owned by Metablox or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

7) Blockchain, NFTs & Digital Assets

• On‑Chain Nature: Certain actions (e.g., minting NFTs, recording memory proofs) may be executed on public blockchains. Transactions are generally irreversible and outside of Metablox’s control.
• No Financial Advice: Information on the Services does not constitute investment, legal, or tax advice. Digital assets involve risk, including loss of value.
• Wallets & Keys: You are solely responsible for your wallet, private keys, and seed phrases. We do not custody user keys.
• Network Fees: You may incur blockchain “gas” or network fees. We do not control such fees.

8) MetaRent, Credits & Metablox Coin

• Virtual Items: MetaRent, Credits, and Metablox Coin (collectively, “Virtual Items”) may be used within the Services. Virtual Items are not legal tender, have no intrinsic monetary value outside the Services, and are non‑refundable unless required by law.
• Changes: We may modify, cap, or discontinue Virtual Items, reward mechanics, or exchange rates at any time.
• Fraud/Abuse: We may adjust balances or restrict accounts for suspected abuse, fraud, or policy violations.

9) Payments, Fees & Taxes

• Fees, pricing, promotions, and billing terms may change with notice as required by law.
• You are responsible for applicable taxes and third‑party charges (e.g., blockchain gas fees, payment processor fees).
• Except where required by law, all purchases are final and non‑refundable.

10) Third‑Party Services

The Services may link to or integrate third‑party sites, wallets, or services. We do not control and are not responsible for third‑party content, terms, or practices.

11) Suspension & Termination

We may suspend or terminate access to the Services (in whole or part) at any time, including for violations of these Terms, legal requirements, or to protect users or the platform.

12) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR‑FREE OPERATION.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, METABLOX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE 6 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

14) Indemnification

You agree to defend, indemnify, and hold harmless Metablox from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services or your violation of these Terms.

15) Governing Law & Dispute Resolution

• Law & Venue: These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict‑of‑laws rules.
• Arbitration: Except where prohibited by law, disputes will be resolved by binding arbitration on an individual basis. You waive any right to participate in class actions or class‑wide arbitration.
• Injunctive Relief: Nothing prevents either party from seeking equitable relief in a court of competent jurisdiction.

16) Changes to the Services or Terms

We may modify or discontinue parts of the Services at any time. We may update these Terms by posting the revised version with a new “Effective Date.” Your continued use constitutes acceptance.
